Contract review before signature helps turn a commercial understanding into obligations that can be understood and implemented. It extends beyond language corrections to authority, price, timing, liability, termination and dispute resolution.
Core review points
Party names, capacity and signing authority should reflect the real relationship. The service or asset, price, tax, payment conditions, delivery, acceptance and related obligations should then be checked.
- Identity and signing authority
- Scope and deliverables
- Price and payment dates
- Liability and indemnities
- Termination and consequences
- Governing law, jurisdiction and dispute resolution
Correspondence and electronic copies
Keep the circulated drafts, comments, schedules and negotiation correspondence. The method of exchange, signature and proof may become relevant if a dispute arises.
Questions before signature
What happens after delay? Who pays for a change? Is liability capped? How is the agreement terminated, and which duties survive termination? If the text does not answer clearly, the point deserves review.
