Shareholder Dispute: What to Prepare Before Legal Advice

Updated from official UAE sources — excluded from indexing until final approval.

A shareholder dispute may concern management, profit, information, authority, share transfers or exit. A safer first step is to preserve records and understand the memorandum and resolutions before escalating through unplanned messages.

Documents that show each partner’s position

Review the licence, memorandum and amendments, shareholder register, resolutions, meeting minutes, financial statements and authorities. Rights and procedure under the Commercial Companies Law depend on the company’s legal form.

Separate a business disagreement from a violation

Not every management disagreement is a crime or an immediate ground for dissolution. Identify the disputed act, financial effect, governing resolution or provision, and a practical remedy.

  • Transfer of interests
  • Exit, settlement or continuation

What to avoid

Do not delete email or records, misuse company authority, or sign a settlement before its consequences are assessed. Preserve the company’s operations and the parties’ rights where possible during negotiations.
