Contract Lawyer in UAE for Drafting and Legal Advice
Consult a contract lawyer in UAE before signing, renewing or amending an agreement. Our Dubai-based firm provides contract services for UAE matters, subject to applicable law, jurisdiction and engagement. We discuss your objectives, risks and expected review output before work begins.
We review the commercial or personal purpose of an agreement and identify risks and obligations before drafting or negotiation. Prepare with our Dubai guide to reviewing contracts before signing; a checklist does not replace review of your draft and attachments.

Turn the purpose of an agreement into clear obligations
Start with the practical agreement: what will each party provide, when and in return for what? Review the draft and attachments against that objective, especially scope, payment, delivery, liability, termination and dispute provisions.
Specify whether the task is reviewing a draft, preparing a new agreement or negotiating selected terms. Where there are two language versions, review their wording, consistency and governing-language clause; linguistic similarity alone does not determine legal effect.
Contract drafting, clause review and amendments
We review the draft in the context of the transaction, discussing obligations, payment, delivery, termination and liability. The service can include written comments, alternative clauses, preparation of a new agreement or review of a revised version following negotiations.
We consider the agreement together with its schedules and commercial proposal so that inconsistencies can be identified. For an agreement already signed, we examine the current question about interpretation, performance or amendment and explain the appropriate work. Documents, language, deliverables, timing, review rounds and fees are agreed with the client. Drafting does not automatically include notarisation, certified translation or representation in a later dispute.
Where the agreement concerns company management or shareholders, discuss it within our corporate legal services in UAE. An existing breach or financial claim may instead require civil claims and dispute support; revising the wording alone may not resolve the dispute.
Illustrative example linking payment to delivery and acceptance
In a services agreement, “the final payment is due on completion” may appear clear, while the technical schedule describes delivery stages without defining what counts as completion. Reviewing the payment clause alone would miss this connection; it should be considered alongside the provisions on scope, delivery, comments and changes.
What will actually be delivered? Specific deliverables can be identified and linked to the relevant schedule instead of relying on a general description.
How will delivery be reviewed? Discuss how comments are submitted, who approves the final version and how the parties will address disagreement about whether the work is complete.
What happens when the request changes? Distinguish correction of work within the agreed scope from an additional request, and clarify how the parties will agree its effect on payment and delivery.
This review helps the client see how performance and payment connect, and discuss commercial choices before approving the wording. Comments may be presented in a table connecting each issue to the existing clause, proposed wording and a question requiring the client’s decision. The example illustrates the review approach; it is not a ready-made clause suitable for every agreement.
Service questions
Questions about contract lawyer in UAE services
What is the difference between contract review and drafting?+
Review tests an existing draft and identifies risks and amendments. Drafting begins with the objective and agreed commercial or personal terms to build the appropriate provisions.
Is translation enough to understand the legal effect of a contract?+
Translation addresses language, but it does not replace legal review of the provisions, obligations, risks, governing law and jurisdiction.
Does a review request include negotiating with the other party?+
Not automatically. Specify whether the engagement covers comments, replacement wording, negotiation or multiple review rounds, and agree the scope and fees.
Can a standard contract be used for every transaction?+
That should not be assumed. Obligations, risks, authority and applicable law depend on the transaction; review a template against the facts rather than only changing names and amounts.
Identifying the applicable text and jurisdiction requires reviewing the facts, documents, amendments and any special rules. This page is general information, not a legal opinion for an individual matter.
